Item 8.01. Other Events.

 

On December 3, 2025, the Board of Directors (the “Board”) of Lattice Semiconductor Corporation (the “Company”) authorized up to a $250 million share purchase (the “2026 Repurchase Program”). This authorization allows the Company to repurchase shares of its common stock. The 2026 Repurchase Program has no termination date and may be suspended or discontinued at any time.

 

A copy of the Company’s press release announcing the 2026 Repurchase Program is attached hereto as Exhibit 99.1 and incorporated herein by reference.
